Pakistan International Neuroscience Society (PINS) North America Association
ARTICLES and BYLAWS
ARTICLES
Article I
The name of the association will be Pakistan International Neuroscience Society (PINS)
North America Association hereafter referred to as “the association”.
Article II
The purpose of PINS North America Association shall be to;
(1) Promote education, research and practice of neuroscience in North America and
globally
(2) Act as a liaison between the neuroscience community in Pakistan & other
countries with the neuroscience community in North America
Article III
This association is not organized for profit and no part of the net earnings of the
association shall be for the benefit of any private individual or member.
Article IV
The duration of this association shall be perpetual.
Article V
The location of the office of this Association is: Oklahoma, USA

Article VI
The management of the Association shall be vested in an Executive Board. The
number of members of the Executive Board shall be fixed by the Bylaws of the
association and may be altered by amending the Bylaws, but shall never be less than

five. The terms of office of the members of the executive board shall be fixed by the
Bylaws of the association and may be altered by amending the Bylaws.
Article VII
The conditions and terms of the qualifications for membership in the Association shall
be provided for in the Bylaws. The Bylaws may provide for various classes of members,
which classes of members shall have such rights and preferences as are set forth in the
Bylaws.
Article VIII
The Bylaws of the association may be amended by the members, in the manner set
forth in the Bylaws.
Article IX
These Articles may be amended upon approval of a proposed amendment by the
Executive Board and by (67%) or 2/3 of the votes sent from voting membership of the
members of the association for which proper notice has been given using online or
mailed ballot utilizing reliable election system.

BYLAWS
Article1-Objectives
Mission Statement
Pakistan International Neuroscience Society (PINS) of North America Association is a
medical specialty association established to advance neurological sciences among the
neuroscience community and thereby promoting the best possible education, research
and care for the problems related to nervous system by:
Ensuring appropriate communication between the related professionals and common
people;
Supporting and advocating for an environment which ensures ethical, high quality, and
economical health care with particular emphasis on problems of the nervous system;
Providing, supporting and encouraging excellence in professional education in all
domains of neuroscience.
Pakistan International Neuroscience Society (PINS) of North America Association exists
for and is dedicated to the following purposes:

Support for those principles, policies and practices that seek the attainment of the best
in care of patients with problems of the nervous system;
The pursuit of excellence in medical education around the globe, especially as it
concerns the neurological sciences;
The pursuit of high standards practice of neurological sciences

Support for the quest of scientific knowledge by support for research in related fields
The communication of scientific and scholarly information through scientific meetings
and publications; and,
Provision for communication with other groups and representations to best achieve and
preserve the purpose of the society.
Article II-Policies and Procedures
Details policies and procedures will cover all the processes and functioning of the
association and will include procedural details not laid down in the bylaws and must
NOT violate any of the bylaws.
Policies and procedure may be written by assigned or relevant committees or elected
official but must be reviewed and approved by Executive Board with or without
amendments and are amenable to amendments by 2/3rd majority of the Executive
Board without requiring general membership approval.
Article III-Membership
Sections 1-Eligibility
Membership will be open to Neurologists, and allied practitioners, trainees and students
of Pakistani origin who agree with purpose and objectives of the association.

Section 2-Neuroscience
Neurosciences in regards to membership to PINS North America Association is defined
as all clinical and research fields related to the Nervous system directly such clinical
neurology and neurosurgery. In contentious circumstances, Executive Board can decide
with 2/3 majority as to the inclusion of the person in neurosciences or not. Persons
belonging to Health Industry (pharmaceuticals and biomedical technology, marketing,

policy making etc.) related to Neurosciences will not be eligible for membership for any
class and may work with the association as friends of society.
Section 3 - Classes of Membership
Members will be classified into the following classes: Voting: Active (Ac), Associate (As),
Junior Active (Jac) and non-Voting: Student (S), Adjunct (Ad), Honorary (H) and
Auxiliary (Au)
Voting Members:
Active (A)- Members may be elected from among the persons of Pakistani descent who
have completed their professional training in US or Canada in one of the branches of
neuroscience (clinical or basic sciences) and are residing in US and Canada. They are
eligible to vote and run for elected offices.
Associate (AS)- international members may be elected from persons of Pakistani origin
residing outside of US or Canada who have completed their professional training in US
or Canada in one of the branches of neuroscience. They are eligible to vote but cannot
run for elected offices though can be given appointed positions.

Junior Active (Jac): may be elected from persons who are engaged in the professional
training that will make them potentially eligible for Active membership after successful
completion of the training. Junior membership will only be available while in training.
They shall be transferred to Active membership once they have completed their training.
Junior active members will have the right to vote and cannot run for the elected offices
those included in Executive Board except for a dedicated Junior Executive Member
position.
Non-Voting Members:
Student (S) Members may be elected from the persons who are still engaged in their
undergraduate or graduate education with interest in Neurosciences. Student
membership will continue only as far as they are in the educational program. They are
not able to vote or run for elected offices.
Honorary (H) Members may be elected from members and non-members of PINS.
Nominees must have performed exceptional meritorious contributions to the field of
neuroscience. The nominee's achievements may be acknowledged by the awarding of
Honorary membership. Nominations can be submitted to the Executive Board by

membership-at-large by completing the nomination application (defined in policies) and
must bear the signature of at least two members of PINS. The Executive Board will
consider the nomination application for Honorary membership. The Honorary
memberships will be awarded in the next annual meeting of PINS after accepted by
Executive Board.
Auxiliary (Au) Members - The spouse or significant others of members.

Section 4- Application to Membership
Application for membership shall be made on the application form provided by the
executive office either in paper or electronic format.
Application for Honorary membership must include recommendation of two society
members.
Application for Junior membership may be verified from the training program director
and application for Student membership may require verification by the
dean's/principal's office as per the discretion of the Executive Board.
Final decision on membership and class of membership will be as per the discretion of
the Executive Board.
Section 5- Voting and Holding Office in the Association
Active members (A), Affiliate (AS) and Junior Active (Jac) members in good standing
with dues paid will be entitled to vote either through mail or online ballot or during
annual or special meeting of the society when called to vote. A current list of Voting
member would be maintained at the Executive office and may be posted online for
review and updated as frequently as possible. Every member would have a right to
request his voting status and request a review of his/her voting status. Membership
committee will review request and submit recommendation to the Executive board for
final decision.
Active (A) members are able to run for all elected offices.
Junior Active members are eligible to run only for Junior Executive Member position.

Section 6- Fees and Dues

1) The dues and other fees for each class of membership shall be established by the
Executive Board with or without recommendations from Membership Committee and
may be revised annually as per it’s discretion.
2) Annual dues shall be established on the basis of the calendar year. The dues for a
year shall be payable on the first of January of the year and shall be considered in
arrears if not paid by March 31st of the current year.
3) Honorary members may not pay annual dues.
4) Dues may be paid in advance for up to 3 years.
5) Life time memberships may be offered as per the Executive Board with dues equal
to 10 year annual dues as per the rules and procedure set down in policies.
Section 7- Termination of Membership
A member whose required dues or other fees for a calendar year are not paid by March
1 of that year shall be considered in arrears. With appropriate notice, membership
benefits and services will be suspended at that time as defined by the policy.
Membership in the society of a member who is in arrears and whose dues are not paid
in full by March 31 of the following year and duly notified on contact details provided in
the membership profile shall be considered for termination by the Executive Board at its
meeting.
Once a member who is in arrears is dropped from the association membership, he or
she may pay back dues and re-apply to be reinstated. Either action must receive the
approval of the Executive Board.

Section 8- Disciplinary Action
The Assoiation shall consider disciplinary action for any misconduct in regards to the
professional or ethical misconduct related to society's objectives.
The Disciplinary Action Policy, as adopted by the Executive Board, shall govern all
disciplinary action.
The disciplinary proceedings may result in censure, suspension or expulsion from
membership in the Association as suggested by the policy and as per final discretion of
Executive Board.
A disciplinary committee may be formed as permanent or ad hoc basis.

Section 9- Fair Hearing
A fair hearing procedure, as adopted by the Executive Board as outlined in Policy, shall
be made available in the event of a professional review action by the association.
Article IV- Meetings and Vote of Members
Section 1- Annual Meeting
An annual meeting of the Association shall be held each year in conjunction with the
meeting of the American Academy of Neurology on the dates and times designated by
the Executive Board as per consultation with membership and proposed by the
Organizing Committee.

Section 2- Special Meetings
Special scientific and business meetings of the Association may be called by the
Executive Board for the times and places it may designate.
Section 3- Notice
Notice of each annual meeting of the Association shall be given to all members not less
than 30 days prior to the date of the meeting. Notice of special meetings of the
Association shall be provided no less than 7 days prior to the date of the meeting.
Section 4- Order of Business
The order of business or agenda of each meeting shall be decided by the Executive
Board and suggested by the organizing committee with input from General membership.
Section 5- Quorum
At any annual or special meeting of the Association, the quorum shall consist of no less
than 1/5th of the voting members, except as required by further provisions in these
Bylaws. Members can attend the meeting in person or virtual.
Section 6- Vote
If a quorum is present, a majority vote of the voting members shall be required to
constitute an action on any matter, unless otherwise provided by applicable law, the
articles of incorporation, or these Bylaws.
Article VI : Composition of Board of Trustees

Current Executive Board on application for incorporation shall assume the role of Board
of trustees at the end of their two-year term.
Board of Trustees (BOT) will for four year term. They act as firewall, in unusual
circumstances of considerable harm to the organization BOT can dissolve Executive
Board and, can run affairs of organization until new body is elected. The New Election in
these circumstances will be held within 91 days.

Section 2- Elections of the office bearers
Every two years election will be held for seven Executive Board.
Seven Elected Executive Board members will decide the office bears with majority vote.
One Executive Board will be from Junior membership. .
An affirmative vote of a majority of the voting members will be required for election to
any office.
Voting will be done by electronic and/or paper ballet by a reliable election system as
selected by based on recommendations from the Nomination and Election Committee.
Article IV- Composition of the Executive Board
Section 1-Officers and Members of the Executive Board shall be:
President, Secretary, Treasurer, Junior Executive Member and three at large members
Section 3 – Permanent Committees
Nomination and Election Committee (N&EC)
Membership and Advocacy Committee (M&AC)
Ethics and Grievance Committee (E&GC)
Education and Research Committee
Constitution and bylaws committee
Besides these other ad hoc committees and permanent committees may be formed as
per Committee and Office policy. In addition, other ad hoc committees can be formed by
the Executive Board.

Section 4 - Term of Office bearers

4.1. Board of Trustees:
The term of will be 4 years.
4.2. Executive Board
The term of the office shall be two (2) years.
4.3. Nomination and Election Committee
3 members with term of 3 years
4.5. Membership and Advocacy Committee
3 members with term of up to 3 years.
4.6. Ethics and Grievance Committee
3 members for 3 years
4.7. Education and Research Committee
3 members for 3 years

Board of Trustees and Executive Board members can take office for up to 2 terms.

Section 4-Nominations
At least three supportive members signature will be required for nomination. The
members should send the nominations to the EC as set forth in Nomination and
Election Policy.
Conduct of election will be completely under the supervision of Nomination and Election
Committee.
Section 5-President
The President shall be the head of the Executive Board. She/he shall preside all the
meetings of the society; act as chief spokesman of the society to the public, the press,
legislative bodies, the medical community at large and governmental and private
agencies and organizations; shall ensure that the basic society policies and programs
are formulated and executed.

Section 7- Secretary
The Secretary shall ascertain that records are maintained for all the business meetings
and the Executive Board meetings, keep the minutes of each meeting; maintain the
overall integrity and functionality of the society; act as coordinator between the
Executive Board and the members; oversee all the ad hoc committees and secretaries;
perform other duties assigned by President or the Executive Board.

Section 8-Treasurer
The Treasurer shall ensure that the Association maintains accurate financial records;
review Association expenditure and financial status on a regular basis to ensure overall
financial
integrity; submit the financial accounts of the Association to an annual independent
audit; develop and present financial recommendations to the Executive Board; and
performs other duties assigned by the President or the Executive Board.
Section 9- Removal from Office
Any officer or Board members of the Association may be removed from office by the
affirmative written ballot of two-thirds of the ED members whenever, in their judgment,
the removal will serve the best interests of the society.
Article V-Miscellaneous
Section 1-Fiscal Year
The fiscal year of the Association shall be from January 1 to December 31.
Section 2-Liasion in Pakistan and other countries
The Executive Board may nominate any person/committee to make liaison with (termed
‘Liaison Officer’) any professional/private organization in Pakistan and in other countries
to better serve the basic society policies and programs.
Article VI-Amendments
The Bylaws may be amended, altered or repealed by the vote of at least (67%) of the
voting members that any proposed amendment has been submitted in writing to the
Executive Board by at least 12% voting members and approved for voting by 2/3rd of
